Terms of Use

Introduction

These Terms of Use (“Terms”) govern your access to and use of the SegmentOS products, services, and websites (the “Services”), offered by LUNEM Tech, S.A.S. (“SegmentOS,” “we,” “us”). By clicking to accept, signing a document that references these Terms, or using the Services, you agree to them. If you use the Services for an organization, you accept these Terms on its behalf and confirm you are authorized to do so; “you” then means that organization.

1. Plans, Fees & Payment

1.1 Subscription plans. The Services are offered on tiered plans — currently a free plan (“Free”) and paid subscriptions (“Premium” and “Pro”) — at the prices and with the features presented at sign-up or on our pricing page. Paid plans are billed in advance on a recurring monthly or annual basis (each, a “Billing Cycle”).

1.2 Auto-renewal. Paid subscriptions automatically renew at the end of each Billing Cycle at the then-current price, using your payment method on file, until you cancel. We will provide any renewal or price-change notices required by law.

1.3 Audience panel & add-ons. Panel responses and other add-ons are charged separately from your subscription, at the per-response or package price shown before you launch an order. Panel pricing depends on targeting criteria; the cost is shown before purchase, and you authorize that charge when you launch.

1.4 Taxes. Prices exclude taxes. You are responsible for applicable taxes; we will charge them where required unless you provide a valid exemption certificate.

1.5 Cancellation. You may cancel a paid subscription at any time; cancellation takes effect at the end of the current Billing Cycle, and you retain paid access until then.

1.6 Refunds. Except where required by law, fees are non-refundable.

1.7 Price changes. We may change fees; changes apply from your next Billing Cycle after notice and do not affect amounts already paid.

2. Privacy & Confidentiality

2.1 Privacy. Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf, our Data Processing Addendum (incorporated by reference) applies. You must have all rights and consents needed for the data you submit and collect.

2.2 Confidentiality. We treat your Content as confidential and will not use or disclose it except to provide the Services or as permitted by the Privacy Policy or law. Standard confidentiality exceptions apply (information that is public, already known, independently developed, or lawfully received from a third party).

3. Your Content

3.1 Ownership. You retain ownership of the content you submit — your survey questions, media, and the responses you collect (“Content”).

3.2 License to operate the Services. You grant SegmentOS a worldwide, royalty-free license to host, use, reproduce, modify (e.g., format and translate), and process your Content solely to provide, secure, and improve the Services as permitted by the Privacy Policy, including via our sub-processors. For AI features, this license covers processing your Content to generate the translations, summaries, and insights you request.

3.3 Responsibility. You are responsible for your Content and for complying with our Acceptable Uses Policy and applicable law. We may review and remove Content that we believe violates these Terms or the law.

4. Accounts

4.1 Security. You are responsible for safeguarding your credentials and for activity under your account.

4.2 Accuracy. Keep your email and billing details current.

4.3 Inactivity. We may close an account and delete its Content after [12] months of inactivity, after attempting to notify you by email.

5. Eligibility

5.1 You may use the Services only if you can form a binding contract with us.

5.2 Minors. The Services are not for individuals under 16 (or a higher age where local law requires).

5.3 Sanctions/Export. You may not use the Services if you are barred under applicable sanctions or export laws, or located in an embargoed territory.

6. Acceptable Use

You agree not to misuse the Services and to comply with our Acceptable Uses Policy, which is incorporated into these Terms.

7. AI Features

AI-assisted translation and analysis are provided “as is” and are assistive only. Outputs may be inaccurate or incomplete; you are responsible for reviewing them before use. You must not use AI features to generate unlawful, deceptive, or infringing content, or to process data you are not permitted to process.

8. Suspension & Termination

8.1 By you. You may close your account at any time; your Content will be deleted per our retention practices.

8.2 By us. We may limit, suspend, or terminate access if you materially breach these Terms, fail to pay, create legal risk or disruption, or cease operations/become insolvent. Where practicable we will give notice and an opportunity to cure.

9. Changes

We may change these Terms or the Services. We will give advance notice of material changes. Continued use after changes take effect constitutes acceptance.

10. Disclaimers

EXCEPT AS EXPRESSLY STATED AND TO THE EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that research results, panel responses, or AI outputs are accurate, representative, or fit for any decision you make.

11. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, SEGMENTOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You will indemnify and hold SegmentOS harmless from third-party claims arising out of your Content, your use of the Services, or your breach of these Terms or the Acceptable Uses Policy.

13. Contracting Entity & Governing Law

You are contracting with LUNEM Technologies, S.A.S., located in Miguel Hidalgo, Mexico City, Mexico. These Terms are governed by the laws of Mexico, without regard to conflict-of-laws rules, and the courts of Miguel Hidalgo, Mexico City have jurisdiction, except where mandatory local consumer law gives you other rights.

14. General

These Terms (with the Privacy Policy, Acceptable Uses Policy, and any DPA or Order Form) are the entire agreement. If a provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or asset sale.
