Terms of Use
Introduction
These Terms of Use (“Terms”) apply to your access and use of the products, services, and websites offered by SegmentOS (collectively the “Services”). You should read these terms thoroughly.
You agree to these Terms by clicking to accept them, executing a document that references them, or by using the Services.
Our paid Services are built for and intended for use by businesses, organizations, and professionals. When using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and you represent that you have the authority to do so. In such cases, “you” and “your” will refer to that organization.
Fees and Payments
1.1 Fees for Services. You agree to pay SegmentOS any fees for each Service you purchase (such as a B2C Validation, B2B Validation, or a "Flying Solo" add-on), in accordance with the pricing and payment terms presented to you at the time of purchase. You will be billed using the billing method you select. If you elect to pay by credit card, you represent and warrant that the information you provide is correct. Fees paid by you are non-refundable, except when required by law.
1.2 Pay-As-You-Go Model. Our Services are billed on a pay-as-you-go basis. This means you pay for each validation package you purchase, without any recurring subscription fees. There are no automatic renewals or monthly charges.
1.3 Taxes. Our prices do not include any taxes, levies, or duties such as value-added or sales taxes (collectively, “Taxes”). You are responsible for paying all Taxes associated with your purchases. If we have a legal obligation to pay or collect Taxes for which you are responsible, we will charge you that amount unless you provide us with a valid tax exemption certificate.
1.4 Price Changes. SegmentOS may change the fees charged for the Services at any time. Any price changes will not affect purchases for which you have already paid.
1.5 Bulk Discounts. We may offer discounts for the purchase of multiple validation packages at once ("bulk purchases"). The specific discount amount and terms will be presented to you at the time of purchase and are applied automatically at checkout.
Privacy
2.1 Privacy. By using our Services, you are trusting us with your content. The SegmentOS Privacy Policy details how we treat your content and personal data, and we agree to adhere to it. You agree that SegmentOS may use and share your content in accordance with our Privacy Policy and applicable data protection laws.
2.2 Confidentiality. We will treat your content as confidential information. However, your content is not regarded as confidential if it: (a) is or becomes public; (b) was lawfully known to us before receiving it from you; (c) is received by us from a third party without knowledge of breach of any obligation owed to you; or (d) was independently developed by us. We may disclose your content when required by law or legal procedures.
Your Content
3.1 You Retain Ownership. You retain ownership of all intellectual property rights in the content you submit to the Services (your “Content”), which includes your poll questions and the responses you collect. These Terms do not grant us any rights to your Content except for the limited license described below.
3.2 Limited License. You grant SegmentOS a worldwide, royalty-free license to use, reproduce, and modify your Content, but only for the limited purpose of providing and improving the Services as permitted by our Privacy Policy. This license extends to trusted third parties we work with to the extent necessary to provide the Services.
3.3 Responsibility for Your Content. You are responsible for your Content. You must ensure you have all the rights and permissions needed to use that Content in connection with the Services. We may review Content to determine whether it is illegal or violates these Terms, and we may modify, prevent access to, or delete content that we believe violates the law or these Terms.
Account Management
4.1 Keep Your Password Secure. You are responsible for safeguarding your password and any other credentials used to access your account. You are responsible for any activity occurring in your account.
4.2 Keep Your Details Accurate. You must keep your email address and payment details associated with your account current and accurate.
4.3 Account Inactivity. SegmentOS may close your account and delete any Content within it if there is no account activity (such as a login or payment) for over 12 months. We will attempt to warn you by email before closing your account.
User Requirements
5.1 Legal Status. You may only use the Services if you have the power to form a contract with SegmentOS.
5.2 Minors. “Minors” are individuals under the age of 16 (or a higher age in certain countries). The Services are not intended for use by Minors.
5.3 Export Control. You may only use the Services if you are not prohibited under any applicable laws from doing so. You may not use the Services in any country embargoed by the U.S. or other applicable law, or on any list of prohibited or restricted parties.
Acceptable Uses
You agree not to misuse the Services or help anyone else to do so. You agree to comply with our Acceptable Uses Policy.
Suspension and Termination of Services
7.1 By You. You can close your account at any time. When you close your account, your Services will be terminated, and your Content will be deleted in accordance with our data retention policy.
7.2 By SegmentOS. We may limit, suspend, or terminate your access to the Services if you: (a) materially breach these Terms; (b) cease your business operations or become subject to insolvency proceedings; (c) fail to pay fees when due; or (d) use the Services in a way that causes legal liability to us or disrupts others’ use of the Services.
Changes and Updates
8.1 Changes to Terms. We may change these Terms at any time. If an amendment is material, we will notify you in advance. By continuing to use the Services after the changes become effective, you agree to the revised Terms.
8.2 Changes to Services. We are constantly changing and improving the Services. We may add, alter, or remove functionality at any time.
Disclaimers and Limitations of Liability
9.1 Disclaimers. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND SEGMENTOS DOES NOT MAKE WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.
9.2 Limitation of Liability. TO THE EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SEGMENTOS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO SEGMENTOS FOR THE SERVICES AT ISSUE DURING THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
9.3 Indemnification. You will indemnify and hold harmless SegmentOS from all liabilities, damages, and costs arising out of a third-party claim regarding your use of the Services or breach of these Terms.
10. Contracting Entity
You are contracting with SegmentOS Smart Tech, SAS, located in San Pedro Garza García, State of Nuevo Leon, Mexico. These Terms are governed by the laws of Mexico.
